EXHIBITOR AND SPONSOR TERMS AND CONDITIONS OF ATTENDANCE AND PARTICIPATION
These are the terms (the “Agreement”) that govern your attendance at or participation in The Metaverse Spectrum Business Conference & Expo (referred to herein as the “Expo” or the “Event”). By registering for the Event you are agreeing to these terms, which form a legally binding contract between The Metaverse Spectrum Business Conference, LLC (“Event Host & Sponsor”) and the registered exhibitor, sponsor, or participant (“Exhibitor/Sponsor” or “you”). If you are registering on behalf of another party, it is your responsibility to ensure that such party is aware of these terms and accepts them; by completing the registration you are warranting that you have made the party aware of these terms and that they have accepted these terms.
EVENTS AND VENUES
Events are business-to-business trade shows, expos, and or conferences which bring together business owners, entrepreneurs and other related business industry professionals. Each Event will be held on the dates and times set forth in the Exhibitor Contract and will be conducted as a virtual event (each, a “Virtual Event”) located at a virtual venue or venues accessible online (each, a “Virtual Venue”). Among other things, the date and time of Event will be listed in the applicable Exhibitor Contract and/or as may subsequently otherwise be communicated by The Metaverse Spectrum Business Conference, LLC to Exhibitor from time to time. For clarity, each “Event” as defined in this T&C refers collectively to, and includes, all activities being promoted by The Metaverse Spectrum Business Conference, LLC in connection with any of The Metaverse Spectrum events, including without limitation all pre-conference and post-conference event activities in connection with such Event.
EXHIBITOR REGISTRATION; MODIFICATION
By registering with us as an Exhibitor, you represent and warrant that you are at least eighteen (18) years of age and not a minor in your state of residence, and that, if you are executing an Exhibitor Contract and any other part of the Exhibitor Agreements on behalf of an entity, you have been duly authorized to so act by such entity. We reserve the right to modify our policies regarding our exhibitors at any time upon notice to you. To the extent that you register for multiple Events, you agree to adhere to any such new policies once we have made you aware of all such modifications. If you do not agree to abide by the provisions of the Exhibitor Agreements, you are not authorized to attend any Event as an exhibitor.
NO WARRANTIES REGARDING EVENTS OR ANY SERVICES
The Metaverse Spectrum Business Conference, LLC makes no representations or warranties, express or implied, regarding the number or type of persons who will register or attend each Event (including visiting your exhibitor booth(s) and/or attending workshop(s) and webinar(s)) or any services provided and/or any other matter related to any of the Events or any such services. No warranty regarding future performance or gained business is made by The Metaverse Spectrum Business Conference, LLC. Exhibitor understands that The Metaverse Spectrum Business Conference, LLC can only provide Exhibitor with registration and attendance estimates based on the registrations and attendance of prior similar Events, and that The Metaverse Spectrum Business Conference, LLC is not promising that an Event or any services will have any particular attendance, registrations or demographic of attendees, open rate, click through rate or any financial gain or that Exhibitor will receive any business or other results from Exhibitor’s presence at any Event or for using any services. The Metaverse Spectrum Business Conference, LLC makes no representations or warranties, express or implied, regarding how many contacts will be listed in any Event registration list or included in any email blast services.
EXHIBITOR FEES
Exhibitor’s participation in each Event is contingent upon Exhibitor having paid in full the applicable fees set forth in the Exhibitor Agreements (the “Exhibitor Fees”). Upon successful payment via credit card, work and planning may commence.
NO REFUNDS, CANCELLATIONS OR CHARGEBACKS
All exhibitor fees are final. Once exhibitor executes the exhibitor contract, there are no refunds of the exhibitor fees or any chargebacks permitted whatsoever, and any overdue balance of exhibitor fees shall be paid in full by exhibitor even if exhibitor decides not to attend any event to which such exhibitor fees apply. The Metaverse Spectrum Business Conference, LLC has the right to cancel Exhibitor’s registration to any Event. At any point prior to Event or during Event, The Metaverse Spectrum Business Conference, LLC has the right to have Exhibitor and/or Exhibitor’s representatives (“Representatives”) removed from such Event) at any time due to the breach by Exhibitor (including any Representatives) of any of Exhibitor’s obligations under this T&C or any other part of the Exhibitor Agreements. In any such a case, Exhibitor shall not receive any refund of the Exhibitor Fees.
EXHIBITOR/SPONSOR REQUIREMENTS; PROHIBITED CONDUCT
Unethical or Non-Compliant Marketing. The Metaverse Spectrum Business Conference, LLC reserves the right to deny admission to anyone who, in The Metaverse Spectrum Business Conference, LLC’s sole discretion, engages in or is reputed to engage in unethical or non-compliant marketing practices.
Restrictions The Metaverse Spectrum Business Conference, LLC management reserves the right to restrict or remove exhibits, without refund, that have been falsely entered or are deemed by show management as unsuitable or objectionable.
INDEMNIFICATION
You will indemnify, defend and hold us harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, an “Action”) brought against us (and our officers, directors, employees, agents, service providers, licensors, and affiliates) by a third party not affiliated with us to the extent that such Action is based upon or arises out of (a) unauthorized or illegal use of the Service by you, (b) your noncompliance with or breach of this Agreement, (c) your use of third-party products, (d) sales by you of products or services or the provision of any service or content by you through the Services, or (e) the unauthorized use of the Service by any other person using your user information. We will: notify you in writing promptly after our becoming aware of any such claim; give you sole control of the defense or settlement of such a claim; and provide you (at your expense) with any and all information and assistance reasonably requested by you to handle the defense or settlement of the claim. You shall not accept any settlement that (i) imposes an obligation on us; (ii) requires us to make an admission; or (iii) imposes liability not covered by these indemnifications or places restrictions on us without our prior written consent.
PUBLICI
You grant us the right to add your name and company logo to our customer list, website and marketing materials. If The Metaverse Spectrum Business Conference, LLC elects to issue a press release pertaining to this Agreement, The Metaverse Spectrum Business Conference, LLC and you agree to cooperate in a joint press release, subject to both parties’ prior review and approval, announcing the execution of this Agreement.
SUBLEASING
Exhibitors may not sublease their virtual space and must be exhibiting property for products or services related to the Exhibitor only. Sublease in this use includes renting, sharing, donating, or in any way allowing another company or person to display or advertise in an Exhibitor’s space.
MISCELLANEOUS
THE METAVERSE SPECTRUM BUSINESS CONFERENCE, LLC’s failure to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder.
THE METAVERSE SPECTRUM BUSINESS CONFERENCE, LLC shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond THE METAVERSE SPECTRUM BUSINESS CONFERENCE, LLC show management’s reasonable control.
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.
This Agreement is not assignable, transferable or sub-licensable by you without the prior written consent of The Metaverse Spectrum Business Conference, LLC show management.
This Agreement shall be governed by the laws of the State of Florida, and the parties shall submit to the exclusive jurisdiction of the Florida courts.
A party that substantially prevails in an action brought under this Agreement is entitled to recover from the other party its reasonable attorneys’ fees and costs.
The parties further agree that, to the extent permitted by law, valid service of process in any such action or proceeding may be achieved as follows: a) delivered by hand; b) sent by fax/telecopier (with receipt confirmed), provided that a copy is mailed the same day by Registered or Certified Mail, return receipt requested; or c) when received by the addressee if sent by Express Mail, Federal Express or other express delivery services.
Both parties agree that with the exception of financial obligations, this Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications, and other understandings relating to the subject matter of this Agreement and that all modifications must be in a writing, signed by both parties, except as otherwise provided herein.
No agency, partnership, joint venture, or employment is created as a result of this Agreement, and you acknowledge that you do not have any authority of any kind to legally bind The Metaverse Spectrum Business Conference, LLC in any respect whatsoever.
FORCE MAJEURE
A “Force Majeure Event” means any event which prevents or delays the performance by The Metaverse Spectrum Business Conference, LLC of any of its obligations under this T&C and/or any other portion of the Exhibitor Agreements in whole or in part, whether by reason of any (i) act of God, (ii) flood, fire, earthquake, or like natural disaster, (iii) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil disturbance or unrest, civil commotion, acts of public enemies, public agitation, or sabotage, (iv) epidemics or pandemics (including without limitation circumstances arising from the Covid-19 pandemic that make such The Metaverse Spectrum Business Conference, LLC’s performance under this T&C or any other portion of the Exhibitor Agreements commercially impracticable, even if such circumstances might be deemed to be foreseeable), (v) widespread Internet, communications or electrical outages, (vi) actions, embargoes or blockades, (vii) acts or orders of government or authorities, rules and regulations, or any delay or abandonment due to any order of any court of applicable jurisdiction, (viii) national or regional emergency, (ix) strikes, labor stoppages, lock-outs, slowdowns or other industrial disturbances, and (x) any other cause beyond the reasonable control of The Metaverse Spectrum Business Conference, LLC.
